END USER LICENSE AGREEMENT (EULA)

Last updated: 13 May 2025

This End User License Agreement ("Agreement") is between you ("Customer") and Integrity International Pty (Ltd), a company registered in South Africa, and governs your use of our web-based psychometric assessment platform ("Service").

1. License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. This license does not permit resale, sublicensing, or use by third parties.

2. Account and Access

The INTEG Online Assessment Facility is made available to registered Psychologists/Psychometrists (Independent Practice) and users of the INTEG Online Assessment System on request. Access to the INTEG Online Assessment System is restricted to registered users only. Usernames and passwords are issued to specific individuals and must not be shared. If you suspect your login details have been compromised, please notify us immediately so we can take action to protect your account.

3. Billing and Payment

Assessment usage is billed monthly, and payment is due within 30 days from date of statement.  Late payments may result in suspension of access and may accrue interest at the maximum legal rate.
Technical support call-outs requested by clients will be billed based on time spent on-site, charged at the base consulting rate, plus travel costs at the current AA rate per kilometer, unless the issue is due to a fault in the INTEG system.

4. Data Ownership and Privacy

You retain ownership of all data you input or collect via the Service. You are responsible for compliance with applicable data protection laws, including South Africa’s Protection of Personal Information Act (POPIA).  For details on how we collect, use, and protect personal data, please refer to our Privacy Policy.

5. Restrictions

You may not copy, modify, reverse engineer, decompile, attempt to derive source code from, or create derivative works of the Service. Use of the Service for unlawful, unauthorized, or abusive purposes is prohibited. The license grants you the right to use the Service only; it does not transfer copyright or intellectual property ownership.

6. Service Availability and Support

We strive to provide reliable access but do not guarantee uninterrupted uptime. Support is available during standard business hours via [email protected].

6A. Professional Use Requirements

The INTEG Online Assessment System is made available only to registered Psychologists or Psychometrists (Independent Practice), and to companies working under their supervision.
INTEG does not condone unsupervised administration of psychological assessments, even if the technology makes it possible. It is the responsibility of the test administrator to ensure assessments are conducted in line with applicable legislation, the Health Professions Council of South Africa (HPCSA) regulations, and ethical codes. INTEG accepts no liability for any legal, ethical, or disciplinary action arising from unsupervised use.
Companies without a registered Psychologist or Psychometrist on staff must contract a supervising professional to ensure compliance with these obligations.

6B. Training and Support

Client administrators will be provided with a user manual and access to email and telephone support, within business hours, for the use of the INTEG system. Support is limited to the INTEG platform itself and does not cover operating systems, office software, or network issues.
INTEG reserves the right to require users to undergo training if support staff determine that a user is unable to operate the system competently. Training will be charged at our base consulting rate for standard support and user coaching. Advanced or specialized training is charged at our standard consulting rate.

7. Termination

Either party may terminate this Agreement with 30 days’ written notice. Upon termination, access will be disabled, and data will be retained for 60 days before permanent deletion unless required by law.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of using the Service, and to use it solely for fulfilling obligations under this Agreement.

9. Disclaimer and Limitation of Liability

The Service is provided “as is” without warranties of any kind. To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including lost profits or data.

10. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts of South Africa.

11. Amendments

We may update this Agreement from time to time. Material changes will be communicated to you in advance, and continued use of the Service indicates acceptance of the revised terms.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, legal restrictions, or labour disputes.

By using the Service, you confirm that you have read, understood, and agree to be bound by this Agreement.
